1. Acceptance of Terms

By accessing or using Threadline ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. We reserve the right to update these Terms at any time; continued use constitutes acceptance of any changes.

Threadline provides AI-powered automation for Instagram Direct Messages and comment replies. The Service integrates with Meta's Instagram Graph API to send automated responses on your behalf based on your configured business context.

3. Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your business. You must have an active Instagram Business or Creator account in good standing with Meta's terms.

4. Account Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized access or breach.
• You may not share your account with others or use automated means to access the Service.

5. Acceptable Use

You agree not to use the Service to:

• Send spam, unsolicited messages, or deceptive content
• Violate Meta's Platform Terms or Community Standards
• Impersonate any person or entity
• Engage in any unlawful activity
• Interfere with or disrupt the integrity of the Service

6. Instagram Integration

By connecting your Instagram account, you authorize Threadline to send Direct Messages and reply to comments on your behalf using the permissions you grant via OAuth. You may revoke this authorization at any time through your Instagram settings. Threadline is not affiliated with Meta Platforms, Inc.

7. AI-Generated Content

Responses generated by Threadline's AI are based on your business context and knowledge base. You are solely responsible for reviewing AI-generated content and ensuring it complies with applicable laws. Threadline is not liable for any consequences arising from AI-generated messages sent on your behalf.

8. Subscription and Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by applicable law. We reserve the right to modify pricing with 30 days' advance notice. Failure to pay may result in suspension of your account.

9. Intellectual Property

Threadline and its licensors own all rights, title, and interest in the Service, including all intellectual property. You retain ownership of content you submit. By submitting content, you grant us a limited, non-exclusive license to use it solely to provide the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that AI-generated responses will be accurate or appropriate for your use case.

11. Limitation of Liability

To the fullest extent permitted by law, Threadline shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to lost profits, lost data, or reputational harm, even if advised of the possibility of such damages.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms. You may cancel your account at any time. Upon termination, your data will be retained for 30 days before deletion, after which it cannot be recovered.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules.

• Usage data (features used, interactions with the dashboard)

4. How We Share Your Information

We do not sell your personal information. We may share data with:

• Service providers: Third-party vendors who help operate the Service (hosting, authentication). They are contractually prohibited from using your data for any purpose other than providing services to us.
• Meta / Instagram: We interact with Meta's APIs to send messages and receive webhooks. Meta's own privacy policy governs their use of data.
• AI providers: Message content is sent to Anthropic's API to generate replies. Data is used only for inference and not to train models, per Anthropic's API terms.
• Legal requirements: When required by law or to protect rights and safety.

5. Data Retention

We retain your data for as long as your account is active. You may request deletion at any time by contacting us. After account termination, data is deleted within 30 days. Instagram message history is retained to support conversation continuity and human review workflows.

• Encryption of Instagram access tokens at rest
• HTTPS for all data in transit
• Authentication via Clerk with JWT verification
• Row-level data isolation per business account

No method of transmission over the Internet is 100% secure. We take reasonable precautions but cannot guarantee absolute security.
